Terms of Service

Last updated: [CONFIRM: date]

These Terms of Service (“Terms”) are an agreement between [CONFIRM: legal entity name] (“LaborWise”, “we”, “us”) and the union, local, council or other organization that signs up for LaborWise (“Customer”, “you”). They cover the website at laborwise.io and the application at app.laborwise.io (the “Service”). The person who accepts these Terms on the Customer’s behalf confirms they have authority to do so.

1. The Service

LaborWise is web software for running a union office, including a member database, grievance and disciplinary case tracking, tasks, documents, calendar, team chat, member email, reports and automations. Features vary by plan, as described on our pricing page. We may improve and change the Service over time.

2. Accounts and users

  • The Customer is responsible for who it invites as users, the roles it gives them, and everything done under its account.
  • Users must keep their sign-in details secure and tell us promptly about any unauthorized access.
  • The number of users and members is limited by the Customer’s plan.

3. Your data

  • You own your data. Everything the Customer and its users put into the Service (“Customer Data”) belongs to the Customer.
  • You give us permission to host, process and display Customer Data only as needed to provide, secure and support the Service.
  • You are responsible for having the right to store and use the member information you put into the Service, and for using it in line with your obligations to your members and the law.
  • Our handling of personal information is described in our Privacy Policy.

4. Acceptable use

You agree not to:

  • Use the Service for anything unlawful, or to send spam or unsolicited email
  • Upload malicious code or try to break, overload or gain unauthorized access to the Service or other customers’ data
  • Resell or sublicense the Service without our written permission
  • Use member email features to contact people who have not given the union permission to email them, where that permission is legally required

5. Trials, plans and billing

  • Free trial. New Customers get 30 days of the Pro plan free, with no credit card. When the trial ends, the account moves to the Free plan unless the Customer upgrades. Data is kept.
  • Free plan. Available at no cost within its limits. We may change the Free plan’s features or limits with notice.
  • Paid plans. Upgrades are requested in the app and billed by invoice, monthly or yearly, at the prices shown when you upgrade. Payment by check or online.
  • Payment terms. Invoices are due within [CONFIRM: e.g. 30] days. [CONFIRM: what happens if an invoice goes unpaid, e.g. reminder, then move to Free plan; never deleting data without notice]
  • Taxes. Prices do not include taxes. [CONFIRM: tax-exempt organizations can provide exemption documentation]
  • Price changes. We will give at least [CONFIRM: e.g. 30] days’ notice before a price change affects your next billing period.
  • Refunds. [CONFIRM: refund policy for yearly plans and mid-term cancellations]

6. Cancellation and termination

  • You can cancel a paid plan at any time [CONFIRM: effective at the end of the current billing period?].
  • We may suspend or end access for serious or repeated violations of these Terms, after notice where reasonable.
  • After cancellation or termination, [CONFIRM: how long Customer Data is kept, and how the Customer can export it before deletion].

7. Availability and support

We work to keep the Service available and reliable, but we do not guarantee it will be uninterrupted or error-free. Support is available by email at info@laborwise.io.

8. Disclaimers

The Service helps unions organize their work, including deadline reminders. It is a tool, not legal advice. The Customer remains responsible for meeting its contract and legal deadlines and obligations. Except as stated in these Terms, the Service is provided “as is”, without warranties of any kind, to the extent the law allows.

9. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or lost profits, and our total liability under these Terms is limited to the amount the Customer paid us in the 12 months before the claim. [CONFIRM: lawyer to review this section]

10. Changes to these Terms

We may update these Terms. If we make significant changes, we will notify Customers by email or in the app before they take effect. Continuing to use the Service after that means you accept the updated Terms.

11. Governing law

These Terms are governed by the laws of the State of New York. [CONFIRM: venue, e.g. courts located in Suffolk County, New York]
